Terms of Service

1. Acceptance

By accessing or using NamQritique ("Platform", "we", "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, you must not use the Platform. These Terms constitute a legally binding agreement between you and NamQritique.

2. Eligibility

You must be at least 18 years of age and legally capable of entering into binding contracts under the laws of Namibia to use this Platform. By using the Platform, you represent and warrant that you meet these requirements.

3. Account Registration and Security

• You agree to provide accurate, current, and complete information during registration and to keep it updated.
• You are solely responsible for maintaining the confidentiality of your credentials and for all activity under your account.
• You must notify us immediately of any suspected unauthorised access at support@namqritique.com.
• We reserve the right to suspend any account where we suspect compromised security.

4. Account Types

• Consumer Accounts: For individuals submitting reviews
• Business Accounts: For authorised representatives managing business profiles; subject to verification
• Admin Accounts: Restricted to NamQritique staff

5. User Content

5.1 Review Standards

All reviews must be:

• Based on genuine, first-hand personal experience
• Truthful, accurate, and not misleading
• Free of defamatory, threatening, harassing, or discriminatory content
• Free of commercial advertising, spam, or third-party promotion

5.2 Prohibited Content

You may not post content that:

• Is false, fraudulent, or fabricated
• Defames, harasses, or threatens any person or business
• Infringes any intellectual property, privacy, or other rights
• Contains malware, phishing, or harmful code
• Violates any applicable law or regulation

5.3 Licence Grant

By submitting content, you grant NamQritique a perpetual, irrevocable, non-exclusive, royalty-free, worldwide licence to use, reproduce, modify, adapt, publish, translate, distribute, and display your content in connection with operating and promoting the Platform. You waive any moral rights to the extent permitted by law.

5.4 Content Removal

We reserve the right — but not the obligation — to review, edit, or remove any content at our sole discretion without prior notice. Removal does not constitute an admission of liability.

6. Business Accounts

• Business representatives warrant that they are authorised to act on behalf of the business.
• Businesses may not solicit, incentivise, or coerce reviews; doing so constitutes immediate grounds for termination.
• Businesses must respond to reviews professionally and may not threaten or intimidate reviewers.
• Business subscription plans are subject to separate commercial terms.

7. Subscription Plans and Billing

• Business subscription fees are billed monthly in advance.
• Fees are non-refundable except where required by Namibian consumer law.
• We reserve the right to change pricing with 30 days' notice. Continued use after notice constitutes acceptance.
• Failure to pay may result in downgrade or suspension of the business account.

8. Prohibited Conduct

You may not:

• Create multiple accounts to circumvent bans or manipulate ratings
• Impersonate any person, business, or NamQritique staff
• Reverse-engineer, scrape, or harvest data from the Platform
• Use automated tools (bots, crawlers) without written permission
• Attempt to gain unauthorised access to any part of the Platform
• Engage in any conduct that disrupts or damages the Platform

9. Intellectual Property

All Platform content, design, trademarks, logos, and software are the exclusive property of NamQritique or its licensors. Nothing in these Terms grants you any right to use our intellectual property without prior written consent.

12. Indemnification

You agree to indemnify, defend, and hold harmless NamQritique and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising from: (a) your use of the Platform; (b) your violation of these Terms; (c) your content; or (d) your violation of any third-party rights.

13. Third-Party Services

The Platform may integrate with or link to third-party services. We are not responsible for the content, practices, or availability of such services.

14. Termination

We may suspend or terminate your account at any time, with or without notice, for any violation of these Terms or for any conduct we deem harmful to the Platform or its users. Upon termination, your right to use the Platform ceases immediately. Provisions that by their nature survive termination shall do so.

15. Dispute Resolution

These Terms are governed by the laws of the Republic of Namibia. You agree to first attempt resolution by contacting legal@namqritique.com. Unresolved disputes shall be submitted to the jurisdiction of the Namibian courts.

16. Changes to Terms

We may modify these Terms at any time. Material changes will be communicated via email and in-app notification at least 14 days before taking effect. Continued use constitutes acceptance. If you do not accept the revised Terms, you must stop using the Platform.

17. Severability

If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall remain in full force.

18. Entire Agreement

These Terms, together with our Privacy Policy and Content Policy, constitute the entire agreement between you and NamQritique regarding use of the Platform.
